Subscription Terms
Pani Zed Core & Enterprise subscription terms.
These terms apply to Pani Zed Core and Pani Zed Enterprise subscriptions purchased from Pani Energy Inc. By completing checkout and paying for a Pani Zed subscription, Customer agrees to these Subscription Terms in addition to Pani's Master Subscription Agreement.
01 Subscription Plan Details
Two plans, one platform.
Pani Zed is offered in two plans. Zed Core is a self-serve, single-facility subscription with standard features and usage limits, purchased through Stripe. Zed Enterprise is a sales-led subscription configured per contract, supporting single and multi-facility deployments.
Entitlements listed under Zed Enterprise below reflect default scope; actual features, limits, and service levels are set in the Customer's Order Form or Master Subscription Agreement.

03 Changes to Plans, Usage & Pricing
How and when plans, usage, and pricing may change.
Pani may update its plans as the product and underlying AI and compute infrastructure evolve. This includes changes to included usage, rate limits, quotas, feature allocations, and model access. Changes apply consistently across similarly situated customers and are not retroactive to usage already incurred.
Price increases on existing paid subscriptions take effect at the start of your next renewal term, with advance written notice to your billing contact. You may choose not to renew. If a change during your term materially reduces the value of your plan, such as removing a feature you are actively using, we will notify your billing contact in advance and, where practical, apply it at renewal instead. If a plan is retired, we will work with you in good faith to migrate to a comparable tier.
Pani may meter, throttle, or temporarily limit AI and compute-backed features when usage is automated, excessive, or inconsistent with normal operator use, to protect performance for all customers. We apply this reasonably and in good faith.
04 AI Usage Policy & Customer Responsibility
AI Output is decision support — not authoritative instruction.
Pani Zed uses AI and machine learning to generate recommendations, audits, agentic insights, fleet analytics, and automated actions ("AI Output"). AI Output is probabilistic and based on historical data and models. It can be wrong, incomplete, outdated, or a poor fit for a specific plant, process, permit, or regulatory context.
AI Output may include estimates of value, savings, performance gains, cost or energy reductions, compliance benefits, ROI, potential risks, or other projections of upside or downside, produced by Zed Audits, agentic insights, or other features. These are informational and forward-looking. They are not guarantees or commitments of actual or future performance, and real-world results may differ materially. Customer is solely responsible for independently evaluating Pani Zed's features and functionality, and for deciding whether the platform delivers sufficient value to justify Customer's purchase decision and ongoing use.
AI Output is decision support, not authoritative instruction. Customer is solely responsible for all operational, engineering, and regulatory decisions at its facilities. Pani Zed does not replace licensed professional engineering judgment or certified operator oversight. A qualified engineer or operator must review AI Output against current plant conditions, permits, and safety procedures before acting on it.
Customer agrees to apply qualified human review before:
Adjusting chemical dosing, setpoints, control loops, or equipment parameters.
Taking action that affects discharge quality, permit compliance, or reported metrics.
Executing or approving any agentic action that changes plant state.
Using AI Output in safety-critical, emergency, or life-safety situations.
Submitting AI Output to regulators, auditors, or third parties as Customer's own work.
Customer is responsible for compliance with all applicable laws, permits, and standards, and shall not rely on Pani Zed as the sole basis for compliance reporting or present AI Output as the work of a licensed PE or certified operator unless that person has independently reviewed and adopted it. Pani may update, modify, or discontinue AI features at any time.
Warranty & Liability
AI Output is provided "as is." To the maximum extent permitted by law, Pani disclaims all warranties, including accuracy, completeness, fitness for a particular purpose, and non-infringement. Pani's aggregate liability relating to AI Output, the platform, or this agreement shall not exceed fees paid by Customer in the preceding 12 months. This cap does not apply to gross negligence, willful misconduct, breach of confidentiality, indemnification obligations, IP infringement, or any liability that cannot be limited under applicable law.
05 Acceptance
By completing checkout, Customer accepts these terms.
By completing checkout and using the Pani Zed platform, Customer confirms it has read and agreed to these Subscription Terms, including the AI Usage Policy in Section 4, and that the person checking out has authority to bind Customer.
